These Terms of Use ("Terms") govern your access to and use of the website selleris.com and any related subdomains (the "Website") operated by Selleris Sp. z o.o. ("Selleris," "we," "us," "our"). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website.These Terms apply to your use of the Website only. Engagements for consulting, implementation, integration, or development services are governed by separate written agreements (Master Service Agreements, Statements of Work, or order forms) executed between Selleris and the client. In the event of a conflict between these Terms and any such agreement, the executed agreement controls.

2. Eligibility

The Website is intended for business users aged 18 or older. By using the Website, you represent that you meet this requirement and that you have the authority to act on behalf of the organization you represent, where applicable. The Website is not directed to children under 16.

3. Nature of the Website

The Website is an informational and marketing resource describing Selleris and our services, including CRM consulting, implementation, custom development, and integration services across Microsoft Dynamics 365, HubSpot, and Bitrix24. Information published on the Website — including service descriptions, case studies, comparisons, blog posts, and benchmarks — is provided for general informational purposes only. It does not constitute a binding offer, professional advice, or a contractual commitment. Any specific scope, deliverables, fees, timelines, and warranties will be set out exclusively in a written agreement between Selleris and the client.

All content on the Website — including text, graphics, logos, icons, images, audio and video clips, layouts, code, methodologies, frameworks, and underlying software — is owned by Selleris or its licensors and is protected by Polish, European Union, and international copyright, trademark, and other intellectual property laws.

The marks "Selleris," the Selleris logo, and any related identifiers are trademarks of Selleris Sp. z o.o. Third-party trademarks referenced on the Website (including Microsoft, Microsoft Dynamics 365, HubSpot, and Bitrix24) belong to their respective owners and are used solely for identification and reference; their mention does not imply endorsement, partnership, or affiliation beyond what is expressly stated.

5. Permitted Use

Subject to your compliance with these Terms, Selleris grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Website for lawful business and personal informational purposes. You may also share links to publicly accessible pages and quote short excerpts of our content in accordance with applicable copyright exceptions, provided you give clear attribution to Selleris and a link to the source page.

6. Prohibited Use

You may not, and you may not assist or permit any third party to:
- copy, reproduce, republish, distribute, or commercially exploit any portion of the Website beyond what is permitted in Section 5;
- modify, translate, create derivative works of, reverse-engineer, decompile, or disassemble any code or content made available through the Website;

The restriction on AI training in the final bullet above constitutes an express reservation of rights under Article 4(3) of EU Directive 2019/790 (the "DSM Directive") and equivalent provisions in other jurisdictions. This reservation is also expressed by machine-readable means in our robots.txt and metadata.

7. User Submissions

When you contact us through web forms, email, scheduled calls, chat, or other channels, you may provide information including your name, contact details, company information, and the substance of your inquiry. By submitting such information, you confirm that it is accurate, that you are authorized to share it, and that its disclosure to Selleris does not violate any obligation owed to a third party. Submissions are processed in accordance with our Privacy Policy.

You grant Selleris a non-exclusive, royalty-free, worldwide license to use the substantive content of your submission (excluding personal information) for the purpose of responding to you, providing services, and improving our offerings. Selleris is not obligated to maintain the confidentiality of unsolicited submissions, including ideas, suggestions, or proposals — please do not send confidential or sensitive material through the Website.

Nothing in this section limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for damage caused intentionally or by gross negligence and statutory rights of consumers where applicable.

To the fullest extent permitted by applicable law, Selleris and its affiliates, directors, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with your access to or use of the Website, even if Selleris has been advised of the possibility of such damages.

In no event shall the aggregate liability of Selleris arising out of or in connection with these Terms or your use of the Website exceed one hundred euros (EUR 100). The limitations in this Section 10 apply to the maximum extent permitted by applicable law and do not affect liability that cannot be limited or excluded by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Selleris and its affiliates, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to (a) your breach of these Terms, (b) your violation of any law or third-party right, or (c) your misuse of the Website.

12. Privacy

Your use of the Website is also governed by our Privacy Policy, which describes how we collect, use, and disclose personal information.

13. Changes to These Terms

The provisions of these Terms that by their nature should survive termination — including Sections 4, 6, 9, 10, 11, 15, and 16 — shall survive.

15. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Republic of Poland, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Website shall be submitted to the exclusive jurisdiction of the competent courts of Warsaw, Poland, except where applicable law provides for the exclusive jurisdiction of another court — for example, where mandatory consumer protection rules give consumers the right to bring proceedings in the courts of their place of residence. Nothing in this Section 15 limits any mandatory rights of EU consumers under Regulation (EU) No 1215/2012 or related instruments.

16. Miscellaneous

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the original intent.

No waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of our right to enforce it later.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

Entire agreement. These Terms, together with our Privacy Policy and Cookie disclosures, constitute the entire agreement between you and Selleris regarding the Website and supersede any prior agreements between us regarding the Website.

Language. These Terms are drawn up in English. Any translations are provided for convenience only; the English version controls.
